Re: [802SEC] Indemnification memo
In principal I agree with Bob but not with the memo as written. Either the
examples should be removed or more realistic examples included. If examples
are to be included, I would also like reference made to corporate venture
arms which have significant investment in privately held companies making
those companies and their voters beholding to the position of the investing
corporation and reference made on the potential of manipulation on the part
of companies who may have a significant buying relationship with another
company, again giving the buying company the potential of controlling its
vendor. Potential abuse through consultants pales in comparison to these
far more efficient forms of manipulation and abuse. Only citing potential
consultant abuse and ignoring the rest is degrading to this class and
unfair in my view. Lets either cite the significant areas of potential
abuse or cite none and talk only of the indemnification policy and behavior.
